About the Role
The Assistant Manager supports the Manager in various aspects of overseeing and executing the process. They assist with scheduling, resolving operational issues, and may also be responsible for managing specific projects. This could involve budget management and representing the Manager in meetings with clients and suppliers. Staying informed about industry developments and best practices related to transformational management is crucial for Assistant Managers. Strong organizational, leadership, and communication skills are essential, along with technical knowledge.
Responsibilities
Secretarial Matters
A) India
Preparation of Board Minutes, AGM / EGM minutes & Coordinating with Company secretary for minutes finalization.
Monthly / Quarterly / Annual compliances required as per Companies Act including but not limited to filing of various forms on MCA portal. (MGT 7, DPT 3, MBP1 / DIR 8
Analysis of spend areas for CSR – Statutory Spends; filing of Form CSR-2, review of proposals for spends, obtaining certificate from audit firm to access CSR amount.
Dividend Declaration – Preparation of Minutes, Calculations & arranging for Provisional financials, Certificate from Secretary, transfers to Unpaid Dividends, Board approval for dividend.
Facilitate / support for closure of books of accounts for Gratuity trust for FY22-23. Audit and completion tax filings with Tax authorities.
Annual Accounts filing in XBRL format with Ministry of Corporate Affairs (Forms AOC-4, MGT-7); Obtaining compliance certificate from the practicing Company secretary in MGT-7 form on annual compliance status.
Obtaining MSME Declaration for the Company.
Renewal of working Capital Facilities renewal (Including BG facilities) with PNB and Citibank – Preparation of Documents for renewal, Charge creation, Obtain credit rating report.
Online Renewal for Import Export Code of Frost & Sullivan India with Director General of Foreign Trade (DGFT) – Annual filing
Online Filing of Statement of Foreign Liability & Assets (FLA) with Reserve Bank of India – Annual filing
Online Renewal of Legal Entity Identifier India Limited (LEI) number of Frost & Sullivan India – annual filing
B) Middle East, Israel & Africa
Bank Guarantee Sanction letter renewal – Follow ups with the Banks & providing necessary information requested for Annual review of sanctioned facility.
Updating of records with the license authority if any, Economic Substance Reporting (ESR Filings) with Ministry of Finance, Dubai, Ultimate Beneficial Owner (UBO filings) with DMCC.
Drafting of Resolutions & other secretarial matters, whenever necessary
Facilitating opening of bank account if required by management.
Insurance Evaluation & GAP analysis for Saudi Arabia.
Facilitate / assist in process of de-registration of South Africa & Pakistan entities.
Accounts Receivables – Collections
Collections – Follow-ups, Notation against each invoice in the accounting system for India & Middle East.
Weekly Aging report for the region (MEASA). Client Account reconciliation – Netting of credit memo & prepayments against Invoice balance outstanding on a weekly basis and ensuring that there are NO open document remaining unadjusted for month than 30 days.
Ensuring Overall receivables above 90 days are 15% or less of the Total AR outstanding.
Keeping a close watch on outstanding receivables > 180 days and to ensure all outstanding receivables above 180 days are either collected or proposed for write off to the management.
Passing Client Collection Entries and TDS Receivable entries in the accounting system and maintaining a register of collection received.
Audit Support – Group / Statutory / Tax Audit – This includes preparation year end ageing reports, arriving at provision to be created for doubtful debts, Analyzing the movement in doubtful debt provision, Bad debts schedule.
Reconciliation of TDS receivable recorded in books with Form 26 AS
Attend to any request from the management or Sales team time to time during the CY 2024 w.r.t collections.
Review and discuss with manager for process improvement.
Manage key stakeholders by sector/practice area to ensure expectations are met/exceeded, timelines are heeded
Develop excellent quality content
